Terms of Service

These Terms of Service ("Terms") govern your use of A-Listed ("we," "us," or "our"), a member management platform. By creating an account or using A-Listed, you agree to these Terms. If you are using A-Listed on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

A-Listed is a web and mobile application that helps organizers manage members, events, RSVPs, attendance, and applications for social meetup groups. We offer free and paid subscription plans.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice of material changes, but are not obligated to do so.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have parental or guardian consent.

3. Acceptable Use

You agree not to:

• Use the Service to harass, threaten, or harm others.
• Upload or distribute content that is unlawful, defamatory, or infringes third-party intellectual property rights.
• Attempt to gain unauthorized access to the Service or other users' data.
• Use the Service to send unsolicited commercial messages (spam).
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or otherwise attempt to derive source code from the Service.

We may suspend or terminate accounts that violate these rules without prior notice.

4. Your Content

You retain ownership of content you upload to A-Listed (member data, event details, photos, etc.). By uploading content, you grant us a limited license to store, process, and display it solely for the purpose of providing the Service to you.

You are responsible for ensuring that content you upload does not violate applicable law or third-party rights, including the privacy rights of your members. You must obtain any necessary consents before uploading personal data about others.

5. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual basis. Payments are processed by Stripe. All fees are non-refundable except as required by law or as stated in our refund policy.

If a payment fails, we may downgrade or suspend your account. You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period. The Free plan is available indefinitely subject to applicable usage limits.

6. Intellectual Property

The A-Listed name, logo, and the Service itself (excluding your content) are owned by A-Listed. Nothing in these Terms grants you a right to use our trademarks or branding without prior written consent.

7. Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

We do not guarantee that data stored in the Service will never be lost. You are responsible for maintaining independent backups of data that is critical to your organization.

9. Limitation of Liability

To the fullest extent permitted by applicable law, A-Listed shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any claims relating to the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $50 if you are on a free plan.

10. Indemnification

You agree to indemnify and hold harmless A-Listed from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of applicable law.

11. Termination

You may stop using the Service and delete your account at any time by contacting [email protected]. We reserve the right to suspend or terminate your access for violation of these Terms, non-payment, or for any other reason with reasonable notice where practicable.

Upon termination, your data will be handled in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of California, and you consent to personal jurisdiction in those courts.

If you are located in the European Union, nothing in these Terms limits your rights under applicable EU consumer protection law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date above and, where appropriate, by email. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
